Number: 208022 Cox Enterprises is seeking a Corporate Governance
Paralegal responsible for assisting with legal entity management of
our U.S. and international subsidiaries, due diligence for
financing and M&A deals as well as other business development
activities. This position will include interaction with our Board
of Directors and senior executive officers. This position will also
assist with drafting resolutions and working with in-house Legal,
Tax, and Treasury personnel. The individual must have the ability
to work independently and as an effective and engaged team member
in a fast-paced environment. Strong initiative and follow-through
are essential for this job. The ability to maintain confidentiality
and to operate in the role with the highest of ethical standards
and professionalism are required.
Board Governance :
Assist with facets of the Board of Directors and Committee
meetings, including logistics for meetings.
Update and maintain corporate minute books for legal entities and
as applicable, Board of Directors and Committees, including
drafting resolutions, minutes, and other necessary
Assist with Annual Meeting of Shareholders.
Coordinate with Board Liaison on preparing board portal for
Provide support to board members on board portal access.
Prepare and file all necessary documents for formation/dissolution
of subsidiaries including Articles of Incorporation, Bylaws,
Articles/Certificates of Dissolution, and necessary board and
shareholder minutes and consents.
Assist with creation, maintenance, and dissolution of entities
worldwide and manages those activities; prepare written consents,
resolutions, certifications, minutes, and other corporate
documentation as needed for domestic and foreign subsidiaries;
update and maintain a database of historical, stock, officer,
director, and other corporate information for all subsidiaries;
draft jurisdictional certificates of authority and certificates of
withdrawal; and mange corporate agents that the company engages
within and outside the United States.
Evaluate the needs for and directs all aspects of domestic
corporate qualifications and registrations for applicable
businesses; coordinate with corporate agents to evaluate the needs
for annual returns, foreign qualifications, business licenses, and
other government filings as necessary to comply with local, state,
and national requirements for business operations; prepare and file
registration, annual report and qualification documents; coordinate
with finance, tax and accounting departments as needed; engage,
direct and oversee work of corporate agents and vendors.
Work with other internal departments to answer questions regarding

room management, coordinating with different groups for due
diligence; assist with the preparation of closing documents; order
certificates of good standings and perform any other special

Bachelor s Degree and/or paralegal studies certificate required
from an ABA accredited program.
Minimum of 7+ years Paralegal experience required.
Exceptional organization skills and meticulous attention to

Proven experience handling confidential and sensitive information
with the ability to exercise discretion and show good judgment;
honesty, integrity, and trust-building behaviors in all dealings is

International corporate governance knowledge a plus.
Ability to multi-task and shift priorities quickly while working
under tight deadlines.
Knowledge and understanding of state corporate laws as they pertain
to transacting business in the state.
Demonstrated ability to work with minimum supervision and work
independently towards completion of projects and strong attention
Advanced experience working with legal databases and strong
aptitude to quickly learn new systems.
